We advise our clients on a range of issues, from project planning (analysis of legal aspects), risk identification and mitigation to contractual arrangements and terms of business transactions, mergers, acquisitions and other restructuring activities, bearing in mind the importance of thorough legal analysis, proper contractual arrangements, identification of potential risks and use of risk mitigation tools in unexpected project situations.

We help our clients address traditional and non-standard situations with a focus on potential dispute resolution. We aim to assist our clients in completing their projects successfully and, where necessary, help our clients have their legitimate interests protected and mutual settlement agreements reached at the project completion stage.

Helping our clients improve business efficiency, we provide a set of contract templates and standard terms of business as well as guidelines and/or regular training courses for our clients’ sales managers and vendors in result of which the contracts and agreements executed on a daily basis need not to be further reviewed whilst the businesses can be confident that their legal relationships with customers are proper and correct.

Financial and Payment Transactions

Heavily regulated, the payment service providers and their customers are subject to increasing requirements, penalties and criminal sanctions imposed for a breach of stipulated rules underpinned by the relatively limited/prevented payment execution options (e.g. due to blocked funds).

Bearing that in mind, we offer guidance through the maze of regulations and assist our clients in setting their internal processes in compliance with law, statutory duties, procedures and requirements of the banks and other payment service providers, whether domestic or international, with a special focus on non-EU payments (Russia, China, USA, etc.).

Our extensive expertise and knowledge of the AML measures enable us to prepare a set of internal documents for our clients, assist in setting the AML compliance processes and conduct external compliance audits.

We have assisted several payment service providers in the process of business formation and registration and prepared comprehensive set of documents required for registration with the Czech National Bank.

Property Transactions

In the ever-dynamic property market with property projects involving large investments of several investors or financing institutions, businesses seek legal support and assistance in understanding the legislative and regulatory matters affecting the construction industry (new residential, non-residential and community buildings, refurbishments, etc.) and in arranging proper contractual relations securing the success of their long-term projects.

With the deregulation of rents and the growing need for homeowner associations and housing co-operatives that would govern member relationships, transfers of titles or lessor-lessee arrangements, the importance of housing law and rent determination in the former low-rent housing sector grow.

Property transfers are often investment-demanding and require that the individual transactions be well timed and all formalities be thoroughly observed.
